Georgia Art League By-Laws
Adopted and Approved April 19th, 2012
Article I - Name
The name of the organization shall be The Georgia Art League (GAL) and shall consist of artist members of the Quinlan Visual Arts Center (QVAC).
Article II - Mission Statement
Our Mission is to nurture and support the artistic growth and development of our members by providing opportunities to increase their skills and share their understanding and knowledge of visual arts through exhibition experience, a variety of educational programs, and networking with other artists.
Article III - Membership
A member of the GAL must also be a current member of the Quinlan Visual Arts Center (QVAC). The annual dues shall be determined by the Executive Committee of the GAL, payable in January and not later than March 1st each year. Any new member affiliating and paying dues at or after the October meeting of the current year shall be deemed a member in good standing for the upcoming new year. Any member in good standing may enter shows or exhibitions of the GAL, provided dues are current for the GAL and QVAC.
Any member failing to adhere to the Exhibitions Guidelines pertaining to “only original artwork” may be deemed by the Executive Committee as “not in good standing” for a period of one year. Any member failing to adhere to other Exhibition Guidelines is subject to non-acceptance or removal of artwork from the exhibition.
Article IV – Meetings
Meetings shall be held on the third Thursday of each month at the QVAC at 12 Noon unless otherwise notified. Guests may be invited to any regular meeting. Executive Committee shall meet monthly at a time prior to the regular GAL meetings.
Article V – Officers and Executive Committee of the GAL
Officers of the GAL shall be elected as provided in these bylaws and shall consist of the President, Vice President, Corresponding Secretary, Recording Secretary, Treasurer, and the Parliamentarian. These Officers and the Chairmen of Standing Committees shall constitute the Executive Committee. The QVAC Executive Director and the Assistant Director shall also be ex-officio non-voting members of the Executive Committee. In the event of a vacancy in any office, the Executive Committee shall make any appointments to fulfill the remainder of the unexpired term.
Article VI - Responsibilities of Officers
Section 1. President: Preside at all meetings, serve as ex-officio member of all committees, oversee GAL events, appoint Chairs of Standing Committees or any special committees not provided by the Bylaws , coordinate a Networking table at the GAL meetings to keep members informed about upcoming events, workshops, festivals, etc.
Section 2. Vice President: Preside at the GAL meetings in the absence of the President, shall
serve as Program Chairman, schedule programs for the GAL meetings, and present any honorariums for programs approved by the Finance Committee.
Section 3. Recording Secretary: Take minutes at the GAL meetings and Executive Committee meetings, update GAL Face Book page and GAL section of the QVAC website, and keep an accurate record of GAL properties.
Section 4. Corresponding Secretary: Report minutes, meeting information, and other pertinent information to all GAL members by email and post office mailings to those members who do not have email, provided that member provides self-addressed stamped envelopes to the Corresponding Secretary, and shall serve as Chairman of the Newsletter Committee.
Section 5. Treasurer: Shall serve as Chairman of the Finance Committee, collect and keep accurate records of all dues paid, and write checks for budgeted expenditures. Any non-budgeted expenditures must be approved by the Finance Committee in advance. Otherwise, the expenditures may be subject to non-payment. Any member may make a request to the Finance Committee. Treasurer shall notify members whose dues have not been paid by Mar. 1, and invite them to rejoin. Outgoing Treasurer leaves no less than $300 remaining in the treasury in order for newly elected officers to have operating funds for the new year.
Section 6. Parliamentarian: Past President shall serve as Parliamentarian, and shall also serve as Chairman of the Bylaws Committee.
Article VII - Standing Committees
Section 1. Membership Committee - shall keep the membership records of the GAL, coordinate the membership list with the Corresponding Secretary so that all GAL members will be informed of meetings, etc. , coordinate the GAL membership list with the QVAC membership list, and promote new membership.
Section 2. Exhibition Committee - shall coordinate the GAL exhibitions, keep records of the entries, select judges for the exhibitions, hang the exhibitions, present awards, if any, and present an honorarium to judges if appropriate.
Section 3. Finance Committee –Treasurer is Chairman with Executive Committee serving as committee members. They shall prepare the budget at the January meeting prior to the regular GAL meeting. Any member of the Finance Committee requesting a donation or special funding must abstain from voting. No personal gifts may be made to any officer of the GAL from operating funds. In the event of dissolution of the GAL, any remaining funds shall be donated to the Quinlan Visual Arts Center.
Section 4. Publicity Committee - shall take photos at the GAL meetings, post GAL events to the web, local newspapers, and shall strive to promote all members accomplishments.
Section 5. Website Committee - shall keep the GAL web site up to date and coordinate the GAL information with the QVAC web site. Website Committee shall also provide help to members needing assistance in the correct uploading of information for any promotion of the members on the website.
Section 6. Meetings Committee - shall set up studio rooms for meetings, help distribute name tags to members, help direct attention to the “networking table” and oversee suggestion box.
Section 7. Newsletter Committee- Corresponding Secretary shall be Chairman of the Newsletter Committee.
Article VIII - Elections and Amendments
The Chairman of the Nominating Committee shall be appointed by the President with two additional members elected by the membership at the October meeting. This committee will nominate and present a slate of officers for the coming year to the membership in writing by email at least 10 days prior to the elections at the November meeting. Thereafter, any member may nominate a candidate from the floor at the November meeting provided written notice of the intent to make such nominations is made in writing by email to the current President and Corresponding Secretary no later than 7 days prior to the meeting, who in turn will notify the membership within 5 days before the meeting. Upon election, new officers assume responsibilities at the end of the December meeting.
These Bylaws may be amended by submitting any proposed changes in writing to the Parliamentary Committee Chairman and this committee must submit proposed changes to the membership at least 10 days prior to the scheduled meeting in which action is to be taken.
All business conducted at a regular meeting shall be decided by a majority vote of the members present.

The Georgia Art League (“GAL”), its officers, and/or members have no authority to bind or incur any obligation in the name of or on behalf of the Quinlan Visual Arts Center, and the Quinlan will have no liability for the acts, omissions, or obligations of the GAL, its officers or members.
